Terms of Service
Last updated: [Placeholder Date]
These Terms of Service (the “Terms”) govern your access to and use of Verse — the website, applications, and services operated by Verse (“Verse”, “we”, “us”, or “our”). By creating an account or using Verse, you agree to these Terms. Please read them carefully.
Acceptance of terms
By accessing or using Verse, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, Cookie Policy, Acceptable Use Policy, Community Guidelines, and Copyright Policy. If you do not agree, you must not use Verse.
If you use Verse on behalf of an organisation, band, or other legal entity, you represent that you have authority to bind that entity to these Terms, in which case “you” refers to that entity.
Eligibility
You must be at least 18 years old to create an account. Verse is not intended for children under 18. By registering, you confirm that you meet this age requirement and that you are legally able to enter into a binding contract in your country of residence.
User accounts
- You must provide accurate, current, and complete information when creating your account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for all activity that occurs under your account.
- You must notify us promptly if you believe your account has been accessed without your permission.
- We may suspend or close accounts that appear to violate these Terms.
What Verse is
Verse is a collaboration platform that helps musicians create profiles, share works in progress, exchange feedback, and connect with potential collaborators. We provide the tools — you make the music.
Verse does not sign artists, distribute music, or act as a label, publisher, or agent. We are not a party to any collaboration, agreement, or transaction between users.
User responsibilities
When you use Verse, you agree to:
- Follow our Community Guidelines and Acceptable Use Policy.
- Only upload content that you own or have permission to share.
- Treat other musicians with honesty and respect.
- Communicate collaboration terms — credit, splits, ownership — directly with your collaborators, in writing where possible.
- Comply with all laws that apply to you and to the content you upload.
User-generated content
6.1 Your ownership
You retain all rights, title, and interest in the music, lyrics, recordings, demos, artwork, text, and other creative works you upload or share on Verse (“Your Content”). Uploading content to Verse does not transfer ownership to us.
6.2 Licence you grant to Verse
To operate the platform, you grant Verse a limited, worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, display, and process Your Content solely as needed to provide, secure, and improve the service — for example, to stream your demos to a matched collaborator, to display your profile, or to back up your files. This licence ends when you delete Your Content, except where we must retain copies to comply with law or resolve disputes.
6.3 Your responsibility for content
You are solely responsible for Your Content and for making sure you have the right to upload it. If a track includes contributions from other people — a co-writer, producer, session musician, or vocalist — you confirm that you have their permission to share it on Verse.
6.4 Disputes between collaborators
Verse does not mediate or resolve ownership, credit, or royalty disputes between users. Those are matters between you and your collaborators. We may, however, remove content in response to valid legal notices such as copyright complaints submitted under our Copyright Policy.
Intellectual property
Verse, its logo, and the software, design, and content that make up the platform are owned by Verse or its licensors and are protected by copyright, trademark, and other laws. Nothing in these Terms transfers any Verse intellectual property to you. You may not copy, modify, distribute, sell, or reverse engineer any part of Verse except as expressly allowed.
Subscriptions and Pro plans
- Verse offers optional paid plans (“Pro”) with additional features, such as priority review.
- Pro is billed on a recurring basis (monthly or annual) until cancelled.
- You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period.
- Prices, features, and available plans may change; we will notify you before changes take effect for existing subscribers.
Billing
Payments are processed by our third-party payment providers. By subscribing, you authorise us or our providers to charge your chosen payment method for the applicable fees, taxes, and other charges. You are responsible for keeping your billing details accurate and up to date.
Refunds
Subscription fees are generally non-refundable, except where required by applicable consumer law. If you believe you have been billed in error, contact us at billing@verse.app within 30 days and we will review your case in good faith.
Account termination
You may close your account at any time from your profile settings. When you do, we will delete or anonymise your personal data in line with our Privacy Policy, and stop displaying Your Content on public parts of the service.
We may suspend or terminate your account, with or without notice, if you breach these Terms, use Verse in a way that harms other users, or if we are required to do so by law.
Disclaimers
Verse is provided “as is” and “as available”. We do our best to keep the service reliable, secure, and useful, but we make no warranties that it will be uninterrupted, error-free, or that it will result in specific collaborations, matches, or outcomes. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
To the maximum extent permitted by law, Verse and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or opportunities arising out of your use of Verse. Our total liability for any claim relating to the service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) €100.
Indemnification
You agree to defend, indemnify, and hold harmless Verse and its team from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your use of the service, your violation of these Terms, or your violation of any third party rights — including intellectual property rights.
Governing law
These Terms are governed by the laws of [Jurisdiction Placeholder], without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or Verse will be resolved in the competent courts of [Jurisdiction Placeholder], unless mandatory local law grants you the right to bring proceedings in your country of residence.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on Verse before the changes take effect. Your continued use of the service after that date means you accept the updated Terms.
